Legal Support for Business and NGOs
Legal support is for organisations that have no in-house lawyer but face legal questions every month: reviewing a contract, registering changes to the charter, responding to a tax authority request, dismissing an employee correctly or agreeing grant terms with a donor. MK Audit’s lawyers work side by side with auditors and accountants, so every decision is assessed from both the legal and the tax perspective.
You get a lawyer on a retainer basis or for a specific project, written opinions instead of verbal advice, and documents ready for signature. The firm has worked since 2000, is a member of DFK International, and prepares documents in Ukrainian and English.
What is included
- contracts: drafting, review, negotiation with counterparties, donors and sub-grantees;
- corporate changes: change of director, shareholders, address or charter, share capital increase, registration actions;
- registration of LLCs, representative offices, civic organisations and charitable foundations, entry in the Register of Non-Profit Organisations;
- HR documents and labour disputes: employment contracts, dismissals, disciplinary measures, responses to employee complaints;
- disputes with the tax authority: responses to requests, objections to inspection reports, administrative and court appeals;
- disputes with counterparties: claims, pre-trial settlement, representation in commercial courts;
- for NGOs and donor-funded projects: review of grant agreements, reporting and refund conditions, contracts with sub-grantees and contractors, policies required by the donor;
- licences and permits, legal due diligence of projects and individual transactions;
- advice on taxation, competition and regulatory matters.
Cooperation formats
| Format | What it includes | Who it suits |
|---|---|---|
| One-off advice or document | Written opinion, one contract, one registration action | A question that arises rarely |
| Retainer support | Fixed number of hours per month, priority responses, contracts and HR documents | Companies and NGOs without an in-house lawyer |
| Project support | Team of lawyers and auditors for a specific task: reorganisation, dispute, launch of a grant programme | Large one-off tasks with clear deadlines |
Who needs it
- LLCs and private companies that want a lawyer without the cost of a full-time position;
- representative offices and subsidiaries of foreign groups that need documents and opinions in English;
- NGOs, charitable foundations and donor-funded projects: grant agreements, sub-grants, contracts with experts, HR matters for project staff, donor requirements for policies;
- start-ups and new organisations at the stage of registration and first contracts;
- companies that have received a tax authority request, a counterparty claim or a lawsuit.
How the work proceeds
- Request and proposal. You describe the organisation and typical tasks, and we send a commercial proposal with a cooperation format within 1 day.
- Contract and checklist. We sign the contract, define contact persons, communication channels and the list of documents to review.
- Execution. The lawyer responds to requests within the agreed time, prepares documents and, where needed, involves an auditor to assess tax consequences.
- Result and support. You receive documents and written opinions, and we support their signing, registration or consideration in court.
Documents you will need
- charter, extract from the register, ownership structure;
- current contracts with key counterparties and donors;
- HR documents: staffing table, standard employment contract, internal labour regulations;
- correspondence with state authorities, inspection reports, claims and lawsuits, if any;
- for NGOs: grant agreements, project budgets, donor requirements for policies and reporting.
Timing
Under retainer support we respond to a request within 1 to 2 working days, and urgent matters are handled on the day of the request. Drafting a contract takes 2 to 5 working days; registration actions are completed within the deadlines set by the state registrar.
Drafting of individual contracts is described on the contract drafting and review page. Legal support combines well with accounting services for NGOs and business and HR record keeping, and for grant recipients with a grant audit.
Leave a request in the form below: we send a commercial proposal after reviewing the task and reply within 1 day.
How does legal support from an audit firm differ from a law firm?
The lawyer works together with auditors and accountants, so a contract or corporate decision is immediately checked for tax consequences and donor requirements. This matters especially for NGOs and companies with foreign capital.
Can you represent us in court?
Yes. We prepare procedural documents and represent clients in commercial, administrative and civil cases, including disputes with the tax authority and counterparties.
Do you work with English-speaking donors and partners?
Yes. We prepare contracts, opinions and policies in English and take part in negotiations with donors and parent companies.
Can we ask a one-off question without a retainer agreement?
Yes. One-off advice and documents are covered by a separate contract, and if questions become regular we suggest switching to a retainer format.
